Media Release Terms & Conditions

Grant of Rights

The Customer, acting on behalf of itself and its Employee(s) who provide the Content, hereby grants Panopto and its agents, successors, and assigns a perpetual, worldwide, royalty-free, irrevocable, and transferable right and license to use, reproduce, publish, distribute, display, perform, adapt and create derivative works from the Content, in whole or in part, in any and all media now known or hereafter devised, including, but not limited to, websites, social media platforms, email marketing, online advertisements, trade shows, case studies and other marketing materials.

Customer Approval and Waiver

Customer retains the limited right to review and approve the final, unedited Content (the specific quote text, or the final video footage) prior to its first public use by Panopto. Panopto shall submit the Content to the authorized signatory of Customer for approval. Customer shall provide approval within 10 business days of receipt. Failure to respond within this period shall be deemed acceptance and approval of the Content.

Waiver of Derivative Approval

Customer expressly waives any right to inspect or approve Panopto’s use of the Content in any derivative work. This includes, but is not limited to: (1) edits, alterations, or modifications to the video footage (e.g., cropping, color correction, visual effects); (2) the use of partial quotes, excerpted text, or snippets of the video Content; (3) the combination of the Content with other materials, text, music, or graphics; and (4) the specific layout, placement, or medium in which the Content is ultimately displayed. Panopto agrees that any such derivative use will be in good faith and will not materially change the Employee’s original meaning or intent.

Indemnification and Compensation 

Customer agrees to hold Panopto harmless and forever discharge Panopto from all claims, demands, and causes of action which Customer may have related to the Content.

Customer understands that it and its Employee(s) will receive no payment or other consideration for the use of Content.

Authority and Entire Agreement

Customer represents and warrants that it has the full right and authority to enter into this Release and to grant the rights granted herein for its Employee(s).

This Release constitutes the entire agreement between Panopto and Customer concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written, relating to the Content and the rights granted herein.
